Terms and Conditions
This document is an electronic record under the Information Technology Act, 2000 (as amended) and applicable rules. It does not require physical or digital signatures.
These Terms and Conditions (“Terms”) are a binding agreement between GOLD WALT INDIA (OPC) PRIVATE LIMITED (“GoldWalt,” “we,” “us,” “our”) and you (“User,” “you,” “your”) governing access to and use of the GoldWalt mobile application, website, APIs, and related services (collectively, the “Platform”).
Please read these Terms carefully before registering, accessing, or using the Platform. If you do not agree, do not use the Platform and uninstall the mobile application where applicable.
We may amend these Terms at any time by posting an updated version on the Platform. The updated version takes effect upon posting unless stated otherwise. Your continued use after changes constitutes acceptance where permitted by law.

1. Definitions
- Digital Gold / Digital Silver: Precious metal represented digitally in your account, backed by equivalent physical metal held with authorized custodian, vault, and logistics partners, subject to their terms.
- Customer Metal / Holdings: The gold and/or silver balance credited to your account after successful purchase.
- SIP: Systematic Investment Plan—recurring auto-debit via payment partner mandate (e.g., Cashfree) to purchase metal at scheduled intervals.
- Price Lock: A time-bound buy or sell rate that must be completed within the lock window shown in-app.
- Platform: The GoldWalt app, goldwalt.com, APIs, notifications, and customer support channels.
- Partners / Business Partners: Third parties providing custody, vaulting, KYC verification, payments, payouts, logistics, or technology.
- KYC: Know Your Customer verification, including PAN, Aadhaar, and related checks per our KYC Verification Policy.
- Physical Delivery: Conversion of digital holdings into deliverable products (coins, bars, or SKUs) shipped to your address.
2. Eligibility
By accessing the Platform you represent and warrant that:
- You are at least 18 years of age and an Indian resident with legal capacity to enter into a binding contract.
- You are not impersonating any person or entity, and all registration and KYC information (including Officially Valid Documents) is true, correct, and belongs to you.
- You use the Platform only for lawful personal investment or transaction purposes and are not barred under applicable sanctions, AML, or financial-services laws.
- You have the legal ability to buy, sell, hold, and receive delivery of precious metal through the Platform.
- Unless we expressly acknowledge otherwise in writing, you are not registered under the Goods and Services Tax Act, 2017; if you become registered, you will inform us promptly in writing.
- These Terms do not constitute tax, legal, or investment advice; you should seek independent professional advice where required.
3. Nature of Services
GoldWalt operates a technology platform that facilitates digital gold and silver transactions in association with authorized partners. Our role is limited to platform services unless expressly stated otherwise.
- View live or reference bullion prices; buy and sell digital gold and silver; maintain gram-denominated holdings; set up, pause, modify, or cancel SIP plans; receive sell proceeds via verified bank/UPI payout; and request physical delivery where available.
- GoldWalt is not a bank, NBFC, deposit-taking institution, stock exchange, or SEBI-registered investment adviser (unless separately licensed and disclosed). We do not guarantee returns and do not offer loans or credit.
- Custody, vaulting, fulfillment, KYC processing, and payment collection may be performed by Partners. Partner terms apply to those services and are incorporated by reference where notified on the Platform.
4. Registration, Account & Security
- You must register with accurate, complete, and current information. Login uses Indian mobile OTP (+91). You must accept these Terms and the Privacy Policy at signup.
- If information is untrue, inaccurate, incomplete, or we reasonably suspect fraud or risk, we may suspend or terminate your account and refuse current or future use of the Platform without liability to you.
- Email verification may be required before certain transactions. Optional biometric app lock protects access on your device only and does not replace your obligation to secure your device and OTP.
- Notify us immediately of unauthorized access at support@goldwalt.com. We may force logout, expire sessions, or block accounts for security or compliance.
5. KYC & Transaction Limits
- PAN and Aadhaar verification (via authorized flows such as DigiLocker) are required for full platform features. Partners may require additional documentation for delivery or higher limits.
- Without completed KYC, cumulative exposure may be limited (e.g., projected holding up to approximately ₹2,00,000—subject to change and displayed in-app).
- Sell, payout, SIP, and physical delivery typically require completed KYC. Duplicate PAN or Aadhaar across accounts is prohibited.
- We and Partners may prescribe minimum and maximum purchase, sale, payout, or delivery limits per user or period. Such limits are binding when displayed on the Platform.
7. Restrictions on Use
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes.
- You must not copy, scrape, resell, redistribute, publish live prices or Platform content on other media, reverse engineer, interfere with other users, or use the Platform for unlawful or abusive activity.
- Data and prices on the Platform do not constitute investment, financial, or tax advice. You are solely responsible for your investment decisions and any tax reporting or payments.
- Except where liability cannot be excluded by law, GoldWalt is not liable for losses arising from reliance on Platform information or third-party statements.
8. Pricing, Taxes & Payments
- Displayed buy/sell prices are based on live or reference market feeds plus applicable margins/spreads and may change continuously. Price locks apply only within the stated lock window.
- GST (currently 3% on applicable purchases, unless law changes) and other fees are shown before you confirm. You are solely responsible for applicable taxes, duties, and personal income reporting.
- Payments are processed through authorized gateways (primarily Cashfree: UPI, cards, net banking, wallets as enabled). We do not store full card credentials on our servers.
- Payouts are made only to verified beneficiaries you own. Chargebacks, reversals, or compliance holds may delay or cancel transactions.
9. Orders, Buy, Sell & Holdings
- Prices shown on the Platform are an invitation to offer. Your confirmed order constitutes an offer; acceptance occurs when metal is credited or the sell/payout is executed per system records.
- Buy flow: select metal and amount → lock price → pay via gateway → metal credited on successful payment verification. Failed, expired, or abandoned payments do not credit metal.
- Sell flow: lock sell price (minimum ₹100 and maximum per in-app/partner limits) → confirm → metal debited → payout to default verified bank or UPI beneficiary.
- We and Partners may delay, reject, suspend, or cancel orders for technical errors, market volatility, compliance review, suspected fraud, or regulatory requirements. Refunds for rejected paid orders follow our Cancellation & Refund Policy.
- Once metal is credited, ownership is reflected in your account. Digital holdings remain your property; GoldWalt does not claim ownership of Customer Metal credited to you.
10. SIP (Systematic Investment Plan)
- By enabling SIP you authorize recurring auto-debit through the payment partner until you pause, modify, or cancel the mandate in-app or via your UPI/bank app.
- Failed debits may be retried per partner rules. You must maintain sufficient balance in the funding instrument. SIP requires completed KYC and a successful mandate.
- Past successful SIP installments are not refundable. See Cancellation & Refund Policy for duplicate-debit claims.
11. Storage, Custody & Insurance
- Customer Metal is held with authorized custodian/logistics Partners in secured vaults or equivalent arrangements. GoldWalt does not itself store physical metal except through Partners.
- Free storage may be offered for a period as displayed on the Platform or per Partner policy; thereafter storage charges may apply if notified.
- Partners may maintain insurance for vaulted metal subject to policy terms. Insurance may not cover all events (e.g., war, nuclear risk). Report concerns to support@goldwalt.com.
12. Physical Delivery
- Delivery is subject to inventory, serviceable pincodes, and fees shown at checkout. See our Shipping & Physical Delivery Policy.
- You must provide accurate shipping and recipient details. Recipient may need to show identity/address proof at delivery. Inspect packages before acceptance; do not accept tampered or incorrect shipments.
- If delivery fails after reasonable attempts, we will contact you using registered details. Re-dispatch charges may apply. Unclaimed metal after extended periods may be handled per Partner policy, including contact attempts and liquidation at prevailing rates where permitted by law.
13. Cancellations & Refunds
See our Cancellation & Refund Policy. Digital metal credited after successful payment is generally non-refundable except where law or investigation requires (e.g., duplicate charge with no metal credited).
14. Offers & Promotions
- From time to time we may run offers, promo codes, rewards, or credits at our discretion, subject to additional terms displayed for each offer.
- Unless stated otherwise, offers cannot be combined with other promotions. We may modify, suspend, or withdraw offers without prior notice.
15. User Conduct
You must comply with our User Conduct & Prohibited Activities Policy, AML Policy, and applicable law. Violations may result in suspension, admin block, forfeiture of access, and reporting to authorities.
16. Risk Disclosure
Precious metal prices are volatile and market-linked. You may lose money. Past performance does not guarantee future results. Read our Risk Disclosure before transacting. Nothing on the Platform is investment advice.
17. Intellectual Property
All trademarks, logos, software, text, images, and design on the Platform are owned by GoldWalt or licensors. You receive only a limited personal license. No reproduction, commercial use, or derivative works without prior written consent.
18. Third-Party Services
Payment checkout, KYC WebViews, delivery tracking, and partner vaulting are subject to those parties’ terms. For partner-delivered services, partner terms may prevail in case of conflict for that service.
19. Disclaimers
- The Platform and services are provided “as is” and “as available” to the fullest extent permitted by law, without warranties of uninterrupted, timely, or error-free operation.
- We may add, modify, or discontinue features or partners without liability. Content downloaded or obtained through the Platform is at your own risk.
- If you have a dispute with another user or third party, you release GoldWalt and its affiliates from claims arising from that dispute to the extent permitted by law.
20. Limitation of Liability
- GoldWalt is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, even if advised of the possibility.
- We are not liable for inability to access the Platform, unauthorized access to your data caused by factors outside our reasonable control, partner conduct, or force majeure events.
- Our aggregate liability for any claim relating to a transaction is limited to the fees paid to us for that transaction or the INR value of that transaction, whichever is lower, except where liability cannot be limited by law.
21. Indemnity
You agree to indemnify and hold harmless GoldWalt, its directors, officers, employees, affiliates, and Partners from claims, penalties, and expenses (including reasonable legal fees) arising from your breach of these Terms, Privacy Policy, other policies, inaccurate information, unlawful use, or infringement of third-party rights.
22. Suspension & Termination
- We may suspend, restrict, or terminate your access immediately for breach, AML/KYC failure, fraud, sanctions, regulatory direction, or operational risk, with or without prior notice where permitted.
- You may request account deletion in-app or via support@goldwalt.com from your registered email. Deletion is subject to our Account Deletion policy and legal retention requirements.
- On termination, access to holdings and services may be limited until settlement, KYC, or regulatory obligations are completed. GoldWalt is not liable for loss arising from termination where permitted by these Terms.
23. Change in Law
If applicable laws, regulations, or government policy materially restrict or prohibit our services, we may suspend, modify, or discontinue features without liability. We will use reasonable efforts, where feasible and lawful, to facilitate redemption, payout, or delivery of your balance through Partners.
24. Force Majeure
We are not liable for delay or failure due to events beyond reasonable control, including natural disasters, war, pandemic, regulatory bans, partner outages, strikes, or widespread network or payment failure.
25. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights to an affiliate or successor in connection with a merger, acquisition, or reorganization.
26. Governing Law & Disputes
- These Terms are governed by the laws of India.
- Subject to applicable consumer protection rules, courts at Udaipur, Rajasthan have exclusive jurisdiction.
- Disputes may, by mutual agreement, be referred to a sole arbitrator under the Arbitration and Conciliation Act, 1996, with seat at Udaipur and proceedings in English or Hindi.
